Article 2. Mission and Pitch



2.2. Food Station MiE Goffin offers support to companies and individuals in the development of sustainable, innovative food concepts that respect health and nature. Our focus is on customization, exploring future food and culinary arts. We provide an initial pitch or introductory meeting with no obligation for either party.

Article 3. Types of Services.
3.1. One-Time Projects: For one-time assignments such as recipe development, product development, food styling, consulting reports or workshops, a fixed price will be agreed upon based on a quotation.

3.2. Assignments on Hourly Basis: If additional work is required beyond the original assignment, hourly billing will be provided at the rates specified in the quotation.

Article 4. Quotation and Acceptance.
4.1. At the start of the assignment, a fixed price will be established in the quotation, based on the briefing. Any additional tasks will be added to the hourly rate after consultation.

4.2. The quotation constitutes a binding offer and is valid for 30 days. Written confirmation from the customer is required to start the order.

4.3. The quotation specifies the type of assignment and the tasks involved, as well as the price (excluding VAT) and any additional costs.

4.4. After acceptance of the offer, the customer shall provide all necessary information in a timely manner for proper execution of the order.

Article 5. Invoicing and Payment
One-time Projects


5.1. The advance, if any, shall be invoiced at the time of acceptance of the quotation as provided in the quotation. This advance is payable within 14 days of the invoice date, unless the scheduled execution date of the assignment is earlier. In that case, the business day before the execution date shall be considered the due date of the invoice. Any delay in payment automatically extends the delivery period and may result in adjustment of the project schedule.

Standing Orders


5.2. For continuing orders or additional services beyond the original order, billing will be done as agreed upon by the parties. The parties shall agree at the time of quotation whether such billing shall be on the basis of deliverables or whether the project price shall be spread over the anticipated term of the assignment. Each invoice shall be paid within 30 days of the invoice date.

Consequences of Late Payment.


5.3.1 For companies, invoices are payable on the due date indicated. From the due date, a late payment interest at the legal rate (12.5%) shall be due, without notice of default, from the day after the due date.
From the first reminder, we may also charge a flat fee and collection costs (including administration and court costs).

This lump sum fee amounts to a maximum of:

• €20 if the balance due ≤ €150;

• €30 + 10% of the amount due on the bracket between €150.01 and €500;

• €65 + 5% of the amount due on the bracket above €500, with a ceiling of €2,000.

5.3.2. For private individuals, invoices are payable on the indicated due date. In case of non-payment, we will first send a reminder, free of charge, giving the consumer 14 days to pay without additional charges.
After this period, a negligence interest is due (12.5%), as well as a lump sum compensation according to the same ceilings as stipulated above.

5.4. Any objection to the invoice must be notified in writing, by registered mail to Food Station MiE Goffin within 7 days of receipt of the invoice. If no objection is made within this period, the invoice is deemed to be accepted in full and without reservation.

5.5. Late payments suspend all obligations of Food Station towards the customer. Food Station reserves the right to take legal measures to recover the amount due in case of persistent non-payment.

Article 6. Copyrights and Intellectual Property.
6.1. All creations, reports and publications produced by Food Station as part of the assignment remain the intellectual property of Food Station, unless otherwise agreed upon in the offer.

6.2. For publications that the customer wishes to distribute, copyrights are transferred to a limited extent for that specific use. For all other uses, the rights remain with Food Station MiE Goffin.

6.3. Food Station reserves the right to use creations for its own promotional purposes, unless the customer objects in writing and this is accepted by mutual agreement.

Article 7. Delivery and Completion of Services.
7.1. All deliveries of services shall be performed according to the timelines and locations as stated in the quotation.

7.2. Food Station MiE Goffin is not liable for delays due to missing or incorrect information provided by the customer.

7.3. For long-term projects, a periodic review and possible adjustment of the original agreement may take place in consultation with the client.

Article 8. Force Majeure
8.1. Force majeure is the situation in which Food Station MiE Goffin is in the impossibility of fulfilling its commitments, independently of its will, acts and omissions, but because of an external, unavoidable event that was unforeseeable at the time of entering into the Order. Force majeure occurs, for example, due to natural disasters, in the case of gathering and other prohibitions and obligations imposed by a government or administration in the context of public health or national security and any other situation that makes the work and gathering absolutely or practically impossible. Force majeure may also arise in response to a risk with which the parties are familiar but which has not yet occurred at the time of entering into the Engagement, for example, terrorist attacks, COVID-19 and the like.

8.2. In the event of force majeure, Food Station MiE Goffin and the Customer will enter into discussions about the possibility of postponing the Order and what this means for the payment terms. If necessary, an alternative will be sought that can take effect immediately. If this alternative significantly complicates the performance of the Order, the Parties shall agree on an additional cost.

8.3. If force majeure makes the Assignment permanently impossible, the Assignment will be considered cancelled and costs and services will be reimbursed as described in Article 9.

Article 9. Cancellation and Termination of the Agreement.
9.1. One-Time Projects: If the client terminates the assignment early, the deposit will not be refunded.

9.2. Ongoing Projects: When discontinuing an ongoing project, a two-month notice period applies. All work performed up to that point will be billed.

Article 10. Privacy and Confidentiality.
Processing of personal data
10.1. Food Station MiE Goffin is committed to protecting the privacy and personal data of its customers. All processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679) or GDPR.

10.2. Personal data is collected and processed for carrying out the services offered, including recipe development, product development, food styling, consultancy reports and workshops. This data includes contact information, payment details and other information necessary for the correct performance of the services.

Data retention period


10.3. Personal data collected for service provision will be kept for a maximum of 7 years from the last order or assignment.

10.4. For accounting purposes, the necessary data will be kept for a period of 10 years (counting from the year following the year of the invoice date), in accordance with legal obligations.

Right to be forgotten


10.5. Customers have the right to have their personal data deleted, unless such data is necessary for ongoing orders, legal obligations (such as tax purposes), or legal disputes.

10.6. Requests to exercise this right may be made in writing to Food Station MiE Goffin, with proof of identity. The request will be processed within 30 days.

Confidentiality and security


10.7. All personal data will be kept confidential. Food Station MiE Goffin takes appropriate technical and organizational measures to protect these data from loss, misuse, unauthorized access, alteration or disclosure.

10.8. If third parties are involved in the processing of personal data (e.g., hosting or analysis partners), processor agreements are concluded that guarantee that the processing is done in accordance with the AVG.

Repeated acceptance of privacy terms

10.9. With each new order or assignment, the customer explicitly reaccepts the applicability of these privacy and confidentiality provisions and they shall apply accordingly with the application of a new term.

Customer's rights


10.10 In accordance with the AVG, the customer has the following rights:

• Right of access: Customers can request what personal data is being processed.

• Right to correct: Customers can have incorrect or incomplete data corrected.

• Right to restrict processing: Customers may request to restrict the processing of their data under certain conditions.

• Right to data portability: Customers may request to transfer their personal data in a structured, common and machine-readable format.

• Right to object: Customers may object to the processing of personal data.

• Right to complain to the appropriate supervisory authority, such as the Data Protection Authority (GBA).

• Changes to privacy provisions.
10.11. Food Station MiE Goffin reserves the right to modify these privacy provisions. Customers are advised to consult these provisions regularly. The most recent version is available on Food Station MiE Goffin's website.
   

10.12. If a customer continues to use the services after a change in these provisions, this shall be considered as a renewed acceptance of the privacy provisions.

Article 11. Applicable Law and Competent Court.


11. These general terms and conditions are subject to Belgian law. In case of disputes, the court of the district where Food Station MiE Goffin is located is competent, unless otherwise provided by law. Consumers retain the protection of the mandatory law of their own country of residence or domicile.
